Subscription Agreement

1. Subscription Plans

LienVault.ai offers the following subscription tiers:

• Starter ($0/month, pay-per-notice) - Up to 5 active jobs, manual upload only, all 50 states
• Local ($129/month) - Up to 20 active jobs, email forwarding inbox, AI extraction, all 50 states
• Regional ($399/month) - Unlimited active jobs, OAuth email sync, QuickBooks integration, priority support
• Enterprise (Custom pricing) - All Regional features plus API access, custom integrations, dedicated support

Prices are subject to change with 30 days advance notice to existing subscribers.

2. Per-Notice Fees

In addition to your monthly subscription:

• Certified Mail Notices: $15.00 per notice
• This fee covers document generation, printing, USPS Certified Mail postage, and delivery tracking
• Per-notice fees are charged separately from your subscription and are non-refundable once the notice is sent

3. Billing and Payment

• Subscriptions are billed monthly in advance on the same date each month
• Per-notice fees are charged at the time of notice generation
• All payments are processed through Stripe, our secure payment processor
• You authorize us to charge your payment method on file for all applicable fees
• Failed payments may result in immediate service suspension
• Past due amounts may be subject to late fees and sent to collections

4. Free Trial

• New subscribers receive a 14-day free trial with full access to their selected plan features
• No credit card is required to start the trial
• At the end of the trial, you will be prompted to enter payment information to continue
• If no payment method is provided, access will be suspended until subscription is activated

5. Refund Policy

IMPORTANT: All subscription fees are non-refundable once the billing period has begun.

• We do not provide prorated refunds for partial months
• Per-notice fees ($15/notice) are non-refundable once the notice is generated and sent
• If you experience a technical issue that prevented service delivery, contact support for evaluation

6. Cancellation Policy

IMPORTANT: Self-service cancellation is not available. All cancellation requests must be submitted via email.

To cancel your subscription:

• Send an email to support@lienvault.ai with subject line "Subscription Cancellation Request"
• Include your company name, account email address, and reason for cancellation
• Cancellation requests are processed within 2-3 business days
• Your subscription will remain active until the end of your current billing period
• No refunds are provided for the remaining portion of your billing period
• You may export your data before cancellation takes effect

We require email cancellation to ensure proper account verification, prevent unauthorized cancellations, and provide an opportunity to address any concerns that may have led to your decision.

7. Plan Changes

• Upgrades: Take effect immediately. You will be charged the prorated difference for the remainder of your billing period.
• Downgrades: Take effect at the start of your next billing period. No refunds for the current period.
• Enterprise plan changes require contacting our sales team

8. Service Level Agreement

• We strive for 99.9% uptime for the LienVault.ai platform
• Scheduled maintenance windows will be communicated at least 24 hours in advance
• We are not liable for downtime caused by third-party services (Stripe, USPS, email providers)
• Support is available via email at support@lienvault.ai during business hours (M-F, 9am-5pm PST)
• Priority support (Regional and Enterprise plans) includes faster response times

9. Data and Privacy

• You retain ownership of all data you upload to LienVault.ai
• We process your data solely to provide the service and improve our AI models
• Your data is stored securely and encrypted at rest and in transit
• You may request data export or deletion at any time by contacting support
• Project and notice data is retained for 7 years while your account is active (for construction industry compliance)
• Upon account cancellation, data is retained for 30 days to allow reactivation, then permanently deleted

10. Required Account Information

To use LienVault.ai, you must provide:

• Valid email address - Required for account access, notifications, and support
• Phone number - Required for account security and urgent deadline notifications
• Company information - Required for proper notice generation and compliance
• Payment method - Required after trial period ends

Providing false or incomplete information may result in account suspension.

11. Acceptable Use

You agree to use LienVault.ai only for legitimate business purposes:

• Managing your own construction lien rights
• Generating notices for projects where you have actually performed work
• Complying with all applicable federal, state, and local laws

You agree NOT to:

• File fraudulent lien claims or generate false notices
• Share account access with unauthorized users
• Attempt to reverse engineer or access the system in unauthorized ways
• Use the service for any illegal purpose

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• LienVault.ai is not liable for missed deadlines or forfeited lien rights
• We do not provide legal advice - consult an attorney for legal questions
• Our total liability is limited to the amount you paid in the 12 months preceding any claim
• We are not responsible for errors in user-provided data

13. Governing Law

This Agreement shall be governed by the laws of the State of Delaware. Any disputes shall be resolved in the state or federal courts located in Delaware.
