By accessing or using LienVault.ai ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
2. Description of Service
LienVault.ai is a nationwide construction lien management platform that helps contractors, subcontractors, and suppliers protect their lien rights across all 50 US states through:
- Automated job discovery from connected email accounts
- AI-powered extraction of project data from emails and documents
- State-specific deadline calculation covering all 50 US states with regularly updated rules
- Jurisdiction-specific preliminary notice generation compliant with each state's requirements
- USPS certified mail delivery nationwide
- Deadline tracking and reminder notifications
- Forfeiture risk warnings based on state-specific lien laws
3. Account Registration
You must provide accurate and complete information when creating an account, including:
- Valid email address - Required for account verification, notifications, and support communications
- Phone number - Required for account security and urgent deadline notifications
- Company information - Required for proper notice generation
You are responsible for maintaining the security of your account credentials and for all activities that occur under your account. Providing false or incomplete information may result in account suspension.
4. Subscription and Payment
- Subscriptions are billed monthly based on your selected plan
- Certified mail notices are charged at $15 per notice sent via USPS
- All subscription fees are non-refundable once the billing period has begun
- Prices are subject to change with 30 days advance notice
- Failure to pay may result in immediate service suspension
- Past due amounts may be subject to late fees and collection
5. Cancellation Policy
IMPORTANT: Self-service cancellation is not available. All cancellation requests must be submitted via email.
To cancel your subscription:
- Send an email to support@lienvault.ai with subject line "Subscription Cancellation Request"
- Include your company name, account email, and reason for cancellation
- Cancellation requests are processed within 2-3 business days
- Your subscription will remain active until the end of your current billing period
- No refunds are provided for partial billing periods
- You may export your data before cancellation takes effect
We require email cancellation to ensure proper account verification, prevent unauthorized cancellations, and provide an opportunity to address any concerns that led to your decision.
6. Permitted Use
You agree to use the Service only for:
- Managing your legitimate construction lien rights
- Generating notices for projects where you have performed work
- Lawful business purposes in compliance with applicable laws
You agree NOT to:
- Use the Service for fraudulent lien claims
- Submit false or misleading information
- Attempt to circumvent security measures
- Resell or redistribute the Service without authorization
- Use the Service in violation of any applicable laws
7. Disclaimer of Legal Advice
IMPORTANT: LienVault.ai is a software tool, not a law firm. The Service does not provide legal advice.
- Deadline calculations are based on our interpretation of state lien laws
- You should verify all deadlines and requirements with a licensed attorney
- We are not responsible for missed deadlines due to law changes or data errors
- Consult with a construction attorney for complex lien situations
8. Data Accuracy
While we strive for accuracy in our AI extraction and deadline calculations:
- You are responsible for reviewing and verifying all extracted data
- AI extraction may contain errors - always review before sending notices
- State lien laws change - verify current requirements with legal counsel
- We provide confidence scores to help you assess extraction quality
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIENVAULT.AI SHALL NOT BE LIABLE FOR:
- Lost lien rights due to missed deadlines
- Errors in AI-extracted data that you failed to review
- Mail delivery failures by USPS or other carriers
- Changes in state lien laws affecting deadline calculations
- Indirect, incidental, or consequential damages
Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless LienVault.ai from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third party rights.
11. Intellectual Property
All content, features, and functionality of the Service are owned by LienVault.ai and protected by intellectual property laws. You retain ownership of your data but grant us a license to process it to provide the Service.
12. Termination
We may suspend or terminate your account for violation of these Terms. Upon termination, your right to use the Service ceases immediately. You may export your data before termination. We may retain certain data as required by law.
13. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the new Terms.
